Agreement

THIS IS A AGREEMENT BETWEEN YOU OR THE ENTITY THAT YOU REPRESENT ( HEREINAFTER “YOU” or “YOUR”) AND JVC SOLUTIONS (HEREINAFTER “JVCSOL”) GOVERNING YOUR USE OF JVCEMS SOFTWARE IF YOU ARE BASED IN INDIA.
Terms
This Agreement consists of the following terms and conditions (hereinafter the “Terms”).
Personal Information and Privacy
Personal information you provide to JVCSOL through the Service is governed by JVCSOL Privacy Policy. Your election to use the Service indicates your acceptance of the terms of the JVCSOL Privacy Policy. You are responsible for maintaining confidentiality of your username, password and other sensitive information. You are responsible for all activities that occur in your user account and you agree to inform us immediately of any unauthorized use of your user account by email to support@onlinejvc.com or by calling us on any of the numbers listed on https://www.onlinejvc.com/contact.html. We are not responsible for any loss or damage to you or to any third party incurred as a result of any unauthorized access and/or use of your user account, or otherwise.
Communications
The Service may include certain communications from JVCSOL, such as service commencement, restore, termination, downtime or administrative messages. You understand that these communications shall be considered part of using the Services. Communication will in form of Email to registered E mail id with us and Messages or Whats’s Message on Registred mobile numbers with us.
Hosting Location
The hosting location will be in India only. It may change subject to certain conditions.
Data Ownership
We respect right to ownership and therefore your Data will be your property and we (JVCSOL) will not interfere without your permission with your data. We will not share your data with anyone third party. In case any government department in written asks us for sharing of data the same can be shared subject to information to you.
Trademark
JVCEMS (JVC Effort Management System), JVCSOL logo, the names of individual Services and their logos are trademarks of JVCSOL. You agree not to display or use, in any manner, the JVCSOL trademarks, without JVCSOL’s prior permission.
Description of Service
We provide cloud software and applications for businesses and mobile applications ("Service" or "Services"). You may use the Services for your personal and business use or for internal business purpose in the organization that you represent. You may connect to the Services using any Internet browser supported by the Services through a link. You are responsible for obtaining access to the Internet and the equipment necessary to use the Services. You can create and edit content with your user account and if you choose to do so, you can publish and share such content.
Free Trial
If you register for a free trial of one or more Services, JVCSOL will make the applicable Services available to you on a trial basis free of charge for 3 Days.(a) JVCSOL may terminate services after 3 Days and removes the data if it is not confirmed by user. Any data that you enter into the Services, and any customizations made to the Services during the free trial will be permanently lost unless you (a) purchase for the account, (b) export such data before the end of the trial period. Notwithstanding anything contained in this Section, Services are offered as-is during the free trial, without any warranty, covenant, support or liability whatsoever, to the extent permitted by law.
Acceptance
You must be of 18 yrs of age to enter into a binding agreement in order to accept the Agreement. If you do not agree to the General Terms, do not use any of our Services. If you agree to the General Terms you can accept the Agreement by checking a checkbox or clicking on a button indicating your acceptance of the Agreement or by actually using the Services.
Charges
The Services Charges plan is for Yearly or as decided between JVCSOL and the Customer. The Indian GST is applicable as per law and Tax Invoice will be issued on receipt of Amount. You can avail GST credit with the help of Tax Invoice.
Payments
The Customer can pay by BHIM. The mode can be online transfer by NEFT. Payment once received can-not be refundable.

Disclaimer of Warranties
YOU EXPRESSLY UNDERSTAND AND AGREE THAT THE USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN AS-IS-AND-AS-AVAILABLE BASIS. JVCSOL EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED,
Limitation of Liability
In no event shall JVCSOL and its suppliers liable for any special, incidental, punitive, indirect or consequential damages whatsoever (including but not limited to damages for loss of profits, loss of confidential or other information, for business interruption, for personal injury, for loss of privacy, for failure to meet any duty including of good faith or of reasonable care, negligence, and any other pecuniary or other loss whatever) arising out of or in any way related to the use of or inability to use the software, or failure to provide support or other services, information and related content through the software, or otherwise arising out of the use of the software, even if the company or any supplier has been advised of the possibility of such damages.
Indemnification
You agree to indemnify and hold harmless JVCSOL, its officers, directors, employees, suppliers, and affiliates, from and against any losses, damages, fines and expenses (including attorney's fees and costs) arising out of or relating to any claims that you have used the Services in violation of another party's rights, in violation of any law, in violations of any provisions of the Agreement , or any other claim related to your use of the Services, except where such use is authorized by JVCSOL.
Jurisdiction
Any dispute or claim arising out of or relating to the Terms/Agreement shall be settled and adjudicated exclusively by the courts of Faridabad (Haryana) in accordance with Indian Laws.
Modification
If any modification in the JVC EMS was made on request of customer by JVCSOL on with or without payment, it will not be delivered to customer after termination of contract and can be deleted. It is decision of JVCSOL to retain it or to delete. The Customer will have no right to claim for the customization.
Termination
In case of Non Payment of subscription dues on or before time. The contact will be terminated after 3 Days of expiry of contract. The JVCSOL will contact you before due date and after due date by way of E Mail and Phone. No response will be treated as not interested and after 4 working days Data can be deleted from the server. No response from E Mail as well as by Telephone or Message will be treated as termination of contract.
